Terms of Service

1. Agreement

By accessing Fitness Kernel you agree to these Terms. If you use the product on behalf of a gym, you represent that you have authority to bind that gym.

2. The service

Fitness Kernel is a multi-tenant gym operations platform (memberships, scheduling, payments records, attendance, and related tools). Features depend on your gym’s plan and enabled modules. We may improve or change features with reasonable notice where material.

3. Accounts & acceptable use

• Keep credentials confidential; you are responsible for activity under your account.
• Do not attempt to access another gym’s tenant data or bypass security controls.
• Do not upload unlawful, harmful, or infringing content.
• Do not reverse engineer, overload, or disrupt the service except as allowed by law.
• Gyms must have a lawful basis to process member and staff personal data they enter.

4. Subscriptions & cancellation

Gyms subscribe to Fitness Kernel under the plan and pricing agreed with Vyuha Systems (or as shown in the platform console). Fees are typically billed in advance. Unless otherwise agreed in writing, either party may cancel at the end of the then-current billing period by notice to the other. Early termination does not automatically entitle a refund of prepaid fees. Upon cancellation, access may end and exported data is the gym’s responsibility to obtain before closure where tools allow.

5. Customer data

Gyms retain ownership of their operational data. Vyuha Systems processes that data to provide the service as described in the Privacy Policy.

6. Disclaimers

The service is provided “as is” to the extent permitted by law. We do not warrant uninterrupted or error-free operation. AI-assisted insights (where enabled) are informational only and not medical, legal, or financial advice.

7. Liability

To the maximum extent permitted by Indian law, Vyuha Systems’s aggregate liability arising out of these Terms or the service in any twelve-month period is limited to the fees paid by the affected gym for Fitness Kernel in that period. We are not liable for indirect, incidental, special, or consequential damages, lost profits, or lost data, except where liability cannot be excluded by law (including for fraud or wilful misconduct).

8. Governing law

These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply.
